Appellant appeals the district courts granting of Appellees Motion to Dismiss for Failure to State a Claim Upon Which Relief Can be Granted pursuant to FED.R.CIV.P. 12(b)(6) and denying Appellants Motion for Leave to Amend Complaint. The court held that the plain language of the option contract between Capital Parks, Inc. ("Capital") and Southeastern Advertising and Sales System, Inc. ("Southeastern"), granting Capital a right of first refusal, was not violated by the proposed sale of Southeastern to Loewen Group International, Inc. ("Loewen"), and that there was no evidence proving Southeastern is merely the alter ego of Southeasterns shareholder Byron Reeves, or that Waco Memorial Park, Inc. is the alter ego of Southeastern. The court also concluded that Capitals attempt to amend its complaint would be futile. We affirm.
